Terms of Service

These Terms govern your use of Spendly (the “App”), a personal finance application published by Spendly. By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.
1. Use of Spendly
Spendly helps you track spending, budgets, recurring payments, reports, and financial reminders across one or more wallets. You are responsible for the accuracy of the data you enter and for the decisions you make based on the information shown in the App. Spendly is provided for personal, non-commercial use unless otherwise agreed in writing.
2. Eligibility & Account
You must be at least 13 years old (or the minimum age required in your jurisdiction) to use Spendly. Sign-in is provided through Apple Sign-In and Convex Auth. You are responsible for safeguarding the device, Apple ID, and credentials used to access your account, and for all activity that occurs under it.
3. Subscriptions, Billing & Refunds
Premium features may require an active subscription purchased through the Apple App Store. Subscription fees, free trials, renewal terms, taxes, and any promotional pricing are disclosed at the point of purchase.
Subscriptions automatically renew at the end of each billing period unless auto-renew is turned off at least 24 hours before the end of the current period. You can manage or cancel your subscription at any time from your Apple ID account settings. Deleting the App does not cancel a subscription.
All purchases, renewals, refunds, and chargebacks are handled by Apple under the App Store payment terms. We do not process payments directly.
4. Apple App Store EULA
Spendly is licensed, not sold, to you. Your license is governed by the Apple Media Services Terms and the Licensed Application End User License Agreement (the “Apple EULA”), available at apple.com/legal/internet-services/itunes/dev/stdeula. The following terms supplement, and are required by, the Apple EULA:
- Acknowledgment. These Terms are concluded between you and Spendly only, and not with Apple. Spendly, not Apple, is solely responsible for the App and its content.
- Scope of License. The license granted is a non-transferable license to use the App on any Apple-branded product that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms.
- Maintenance and Support. Spendly is solely responsible for providing any maintenance and support services for the App. Apple has no obligation whatsoever to furnish maintenance or support services.
- Warranty. Spendly is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App; to the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the App.
- Product Claims. Spendly, not Apple, is responsible for addressing any claims relating to the App or your possession or use of it, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer-protection, privacy, or similar legislation.
- Intellectual Property Claims. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Spendly, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
- Legal Compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo, or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- Third-Party Beneficiary. You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
5. No Financial, Tax, or Legal Advice
Spendly provides organization, projections, anomaly detection, and AI-generated insights for informational purposes only. Nothing in the App constitutes financial, tax, legal, accounting, or investment advice. Always consult a qualified professional before making decisions about your finances.
6. AI Features
Some optional features, including Ask Spendly AI, receipt intelligence, smart categorization, anomaly explanations, and similar features, use OpenAI as a third-party AI service provider. The App may send relevant finance context, such as amounts, categories, merchant names, wallet summaries, receipt text, or receipt images, to OpenAI to generate responses. AI output may be inaccurate, incomplete, or out of date; review it before acting on it. You can review or disable AI features from More > AI & Privacy in the App.
7. Your Content
You retain ownership of the data you enter, including transactions, receipts, notes, and attachments (collectively, your “Content”). You grant Spendly a limited license to host, store, transmit, back up, and process your Content solely to operate the App and provide the features you use. You are responsible for ensuring you have the right to upload any Content you add.
8. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or attempt to extract source code from the App, except as permitted by applicable law;
- Use the App to violate any law or to infringe the rights of any person;
- Interfere with the integrity or performance of the App, or attempt to gain unauthorized access to it; or
- Use the App to send spam, malware, or any harmful or unlawful content.
9. Termination
You may stop using the App at any time and delete your account from Account settings, which removes your Spendly server data and auth records. We may suspend or terminate access if you breach these Terms or if required by law. Sections that by their nature should survive termination will survive.
10. Disclaimer of Warranties
The App is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Spendly disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that any data will be preserved without loss.
11. Limitation of Liability
To the maximum extent permitted by law, Spendly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the App. Our total aggregate liability for any claim arising out of or relating to the App is limited to the greater of (a) the amount you paid us for the App in the 12 months before the claim, or (b) US$50.
12. Changes to These Terms
We may update these Terms from time to time. If a change is material, we will notify you in the App or by email. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of the App after a change takes effect constitutes acceptance of the updated Terms.
